Terms and Conditions

1. What Sodium provides

Sodium is a collaborative music workspace. It may provide project editing, private and shared rooms, audio storage, sample banks, profiles, messaging, remixing, Spotlight publication, and related tools. Features may change as the service develops. Some features may be unavailable in particular regions or while configuration, maintenance, or safety work is underway.

2. Eligibility and accounts

You must be legally able to enter this agreement. If you use Sodium for an organization, you represent that you are authorized to bind that organization. You must provide a valid email address, verify it when requested, keep account details accurate, protect passwords and recovery codes, and promptly report suspected unauthorized access. You are responsible for activity under your account, except to the extent caused by Sodium’s failure to use reasonable security measures.

Do not impersonate another person, register a handle reserved for staff, create accounts to evade a restriction, or transfer an account without permission. Sodium may limit, suspend, or close accounts that violate these Terms, create safety or security risks, or remain inactive where legally permitted. We will use reasonable efforts to provide notice and an opportunity to resolve an issue when appropriate, but urgent safety, fraud, legal, or security situations may require immediate action.

3. Your work and permissions

You keep ownership of music, recordings, artwork, text, profile material, and other content you submit (“Your Content”). You represent that you own or control the rights needed to upload, store, share, remix, and otherwise use Your Content as you choose, and that it does not violate another person’s rights or the law.

You grant Sodium a non-exclusive, worldwide, royalty-free license to host, reproduce, process, transmit, display, and technically modify Your Content only as reasonably necessary to operate, secure, maintain, improve, and provide the Sodium features you use. This license includes trusted service providers acting for Sodium, lasts while the relevant content is stored or shared, and ends when the content is deleted except for backups, legal records, or copies already shared with others. Sodium does not take ownership of Your Content.

4. Collaboration, public sharing, and Spotlight

Content in a private project or room is intended for the people you invite, but collaboration necessarily gives invited participants the access needed for the role you select. Before making a project public, publishing it to a sample bank, or allowing remixing, check that every contributor and source asset permits that use. You are responsible for permissions you grant to collaborators and for the licenses of third-party samples, plugins, recordings, and artwork.

Spotlight promotional permission

Spotlight publication is optional. When you actively select the promotional-use consent shown in the publication form, you grant Sodium a non-exclusive, worldwide, royalty-free, transferable to service providers, and sublicensable license to use the submitted Spotlight track/project snapshot, associated artwork, your display name or handle, and your submission description in Sodium’s product pages, social posts, announcements, showcases, advertising, press materials, and other promotional campaigns for Sodium. Sodium may edit, crop, excerpt, synchronize, format-shift, or combine those materials for those purposes while preserving the original creator attribution where reasonably practicable.

You retain ownership and may withdraw future promotional use by unpublishing the Spotlight entry or contacting sodiumcollab@gmail.com. Withdrawal does not require recall of lawful materials already released, cached, archived, or distributed before the request, and it does not automatically remove copies that other users made under a remix or download permission. Sodium will stop new promotional uses within a reasonable operational period after a valid withdrawal request.

5. Content rules and moderation

Do not use Sodium to upload or share unlawful, infringing, deceptive, abusive, hateful, harassing, sexually exploitative, malicious, or privacy-invasive material; malware; stolen credentials; spam; or content that endangers others. Do not scrape, probe, overload, bypass access controls, reverse engineer except where law allows, or use automated systems to abuse the service. Do not use Sodium to distribute content you are not licensed to distribute.

Sodium may review reports and use automated or human moderation to protect users and the service. We may restrict visibility, remove content, disable sharing, preserve evidence, or cooperate with lawful requests. Read the Community Content Policy for the detailed rules, review process, and appeals path. No moderation system is perfect; report concerns to sodiumcollab@gmail.com.

6. Third-party services and content

Sodium may connect to services such as identity providers, email delivery providers, hosting providers, storage providers, or links supplied by users. Those services have their own terms and privacy practices. Sodium is not responsible for third-party services, availability, content, or transactions. A third-party license may impose additional limits on an asset; these Terms do not grant rights Sodium does not have.

7. Availability, feedback, and changes

The service is provided on an evolving, “as available” basis. We do not promise uninterrupted operation, permanent storage, compatibility with every device or plugin, or that every error will be corrected. Keep your own backups of important work. If you send feedback, you allow Sodium to use it without restriction or payment, provided we do not identify you publicly as the source without permission.

We may update these Terms to reflect new features, legal requirements, or safety practices. We will post the current version and update the effective date. Material changes will be highlighted where reasonably practicable. If a change requires renewed consent, Sodium may ask you to accept the new version before continuing affected account features. Continued use after the effective date means you accept the updated Terms to the extent permitted by law.

8. Disclaimers, liability, and indemnity

To the maximum extent permitted by law, Sodium and its contributors disclaim implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement. Nothing here excludes a warranty or liability that cannot legally be excluded. To the maximum extent permitted by law, Sodium will not be liable for indirect, incidental, special, consequential, exemplary, or lost-profit damages arising from use of or inability to use the service. Where liability may be limited, Sodium’s total liability for claims relating to the service will not exceed the greater of the amount you paid Sodium for the service in the prior twelve months or 100 US dollars.

You agree to defend and indemnify Sodium and its contributors from third-party claims, losses, and reasonable costs arising from Your Content, your unlawful use of the service, your breach of these Terms, or your violation of another person’s rights, except to the extent caused by Sodium’s own wrongful conduct. You may not agree to a settlement imposing an obligation or admission on Sodium without our written consent.

9. Ending use and general terms

You may stop using Sodium and request account or content deletion through available settings or by contacting us. Some records may remain where required for security, fraud prevention, dispute resolution, accounting, backups, or law. Terms that by their nature should continue—including ownership, licenses for already-shared materials, disclaimers, liability limits, indemnity, and dispute provisions—survive termination.

These Terms and the Privacy Policy describe the agreement about Sodium and replace earlier inconsistent account terms. If any provision is unenforceable, it will be narrowed or severed only as needed and the rest will remain effective. A failure to enforce a provision is not a waiver. You may not assign this agreement without consent; Sodium may assign it in connection with a reorganization or service transfer. Nothing creates an employment, agency, partnership, or joint-venture relationship. Your non-waivable consumer and other legal rights remain intact.
